PARTIES

This Agreement is made between:

Provider: Ricardo Herbstrith Carvalho Unipessoal LDA, NIPC: 517178737, with registered office at Rua Joaquim António de Aguiar, 150, 4300-465 Porto, hereinafter referred to as the "Provider"

Member: The individual or company subscribing to the Front Gallery rental services, hereinafter referred to as the "Member"

ARTICLE 1 - OBJECT AND ACCEPTANCE

1.1 This Agreement governs the provision of event and exhibition space services for exclusive use of The Front Gallery for the specific date selected by the Member under the Daily Plan, including access to the event space, equipment, and specified complementary services, under the conditions defined herein.

1.2 Contract of Adhesion: This is a contract of adhesion ("take it or leave it") and is not subject to negotiation. By proceeding with this Agreement, the Member accepts all terms without modification.

1.3 Non-Renewable Agreement: This is a single-use agreement with no automatic renewal. The Member's access rights are limited to the specific date selected.

ARTICLE 2 - RENTAL TERMS AND SPECIFICATIONS

2.1 Front Gallery Specifications: The Member is granted exclusive access to The Front Gallery event and exhibition space. The space has capacity for 1 to 20 people and is equipped with lounge seating, street-front visibility, and exhibition lighting.

2.2 Included Amenities: The Front Gallery includes dedicated event space, lounge seating arrangements, street-front window display, basic exhibition lighting, and necessary connectivity options. Personal items and exhibition materials must be removed at the end of the rental period.

2.3 Access Hours: Access is granted only during the specific date selected by the Member, from 8:00 AM to 6:00 PM. Any use outside these hours requires prior written authorization from the Provider and will incur additional charges.

2.4 Contract Period: This Agreement is valid only for the selected date from 8:00 AM to 6:00 PM. The Member's access rights commence at 8:00 AM and expire at 6:00 PM on the selected date. This Agreement does not renew automatically.

2.5 Extended Hours Authorization: Any use of the space before 8:00 AM or after 6:00 PM requires explicit prior written authorization from the Provider. Unauthorized extended use will result in automatic overtime charges of €50 per hour or portion thereof.

2.6 Setup and Teardown: All event setup, installation, and teardown must occur within the rental period from 8:00 AM to 6:00 PM. No early access or extended teardown time is permitted without prior written authorization and additional payment.

2.7 Condition Restoration: The Member must return the space to its original condition by 6:00 PM, including but not limited to: removing all decorations, exhibition materials, personal items, and repairing any damage including wall holes, marks, or alterations. Failure to restore the space will result in additional charges.

ARTICLE 3 - SERVICES INCLUDED

3.1 The following services are included in the rental fee:

- High-speed fiber internet connection (subject to availability and technical limitations)

- Use of The Front Gallery event space with lounge seating from 8:00 AM to 6:00 PM

- Street-front window display visibility

- Basic exhibition lighting

- Access to kitchen facilities for coffee, tea and water (available during business hours, subject to availability and stock)

- Access to restroom facilities

- Basic cleaning before the event (detailed post-event cleaning is Member's responsibility)

- Access control and building security

3.2 Access Restrictions: The Member and event participants have access to The Front Gallery, kitchen, and restroom facilities only. Access to other common areas of the coworking space (work desks, private offices, etc.) is restricted to maintain the professional environment for other members.

ARTICLE 4 - FINANCIAL TERMS

4.1 Fee Structure: The fee for Front Gallery Daily Plan access is €100 per day, exclusive of VAT.

4.2 Single Payment: This Agreement requires a single, one-time payment for the daily plan. No recurring payments or automatic renewals apply.

4.3 No Refunds: No refunds will be issued for early departure, non-use of the facilities during the purchased time period, no-shows, or termination for breach of contract by the Member. The Member acknowledges that this is a non-refundable purchase for a specific date.

4.4 No Price Adjustments: The price for the selected date is fixed at the time of purchase and will not be adjusted for any reason, including early departure or partial use of the day.

4.5 Extended Hours Charges: Any use of the space before 8:00 AM or after 6:00 PM without prior written authorization will result in automatic charges of €50 per hour (or portion thereof). Extended hours with prior authorization will be charged at the same rate.

4.6 Damage and Restoration Charges: The Member agrees to pay for any damages to the space, equipment, or furniture, as well as any costs associated with restoring the space to its original condition if the Member fails to do so by 6:00 PM.

ARTICLE 5 - MEMBER OBLIGATIONS AND RESTRICTIONS

5.1 Proper Use: The Member shall use the event space responsibly and respectfully, in accordance with internal regulations and all applicable laws.

5.2 Timely Departure: The Member must vacate the premises promptly by 6:00 PM. Failure to do so will result in automatic extended hours charges of €50 per hour or portion thereof.

5.3 Property Care: The Member shall maintain equipment and furniture in good condition and shall be financially responsible for any damage beyond normal wear and tear. This includes walls, floors, lighting, and all fixtures.

5.4 No Structural Modifications: The Member shall not make structural changes, install permanent fixtures, add furniture without approval, alter electrical systems, paint, drill, or otherwise modify the premises without prior written authorization. Any unauthorized modifications will be restored at the Member's expense.

5.5 Temporary Installations: Temporary installations for exhibitions or events are permitted but must be removed completely by 6:00 PM. Any adhesive materials, nails, screws, or hanging devices must not damage surfaces. The Member is responsible for repairing any damage caused by installations.

5.6 Noise Control: The Member shall maintain reasonable noise levels during events to avoid disturbing other facility users. The Provider reserves the right to intervene if noise levels become disruptive.

5.7 Capacity Limit: The Front Gallery has a maximum capacity of 20 people. Exceeding this limit is strictly prohibited for safety and insurance reasons.

5.8 Guest Policy: All event participants are considered guests of the Member and must comply with these terms. The Member is responsible for the conduct of all participants.

5.9 No Smoking: Smoking is strictly prohibited throughout the facilities, including electronic cigarettes.

5.10 Damage Reporting: The Member shall immediately report any damages, malfunctions, safety hazards, or security incidents.

5.11 Space Cleanup: The Member must leave the space completely clean and restored to original condition by 6:00 PM. All personal belongings, exhibition materials, decorations, and waste must be removed. The Provider is not responsible for any items left behind.

5.12 No Residential Use: Using the space for residential purposes, including sleeping or overnight stays, is strictly prohibited.

5.13 Compliance with Laws: The Member shall comply with all applicable laws, regulations, and licensing requirements while using the facilities, including but not limited to food service regulations, alcohol service laws, and public gathering permits.

5.14 Alcohol Service: If serving alcohol, the Member is responsible for obtaining all necessary permits and ensuring compliance with Portuguese alcohol service laws. The Provider assumes no responsibility for alcohol-related incidents.

5.15 Food Service: If serving food, the Member is responsible for compliance with all food safety regulations and obtaining necessary permits. The Provider assumes no responsibility for food-related incidents.

5.16 Insurance Requirements: For events with more than 20 participants or involving alcohol service, the Member must provide proof of event liability insurance naming the Provider as additional insured.

5.17 Extended Hours Authorization: The Member shall not use the space before 8:00 AM or after 6:00 PM without obtaining prior written authorization from the Provider.

ARTICLE 6 - PROVIDER'S RIGHTS AND OBLIGATIONS

6.1 Access Rights: The Provider maintains the right to access The Front Gallery for maintenance, inspection, security purposes, or emergency situations.

6.2 Infrastructure: The Provider shall ensure proper functioning of infrastructure during business hours from 8:00 AM to 6:00 PM.

6.3 Common Areas: The Provider shall maintain clean and well-maintained common areas (kitchen and restrooms).

6.4 Security Monitoring: The Provider monitors common areas via security cameras for safety and security purposes. The Member acknowledges and consents to such monitoring.

6.5 Usage Monitoring: The Provider may monitor usage patterns for operational and security purposes.

6.6 Right to Terminate Event: The Provider reserves the right to immediately terminate any event that violates this agreement, poses safety risks, or causes disturbances to other building occupants.

6.7 Extended Hours Approval: The Provider reserves the right to approve or deny any requests for extended hours at its sole discretion.

ARTICLE 7 - LIMITATION OF LIABILITY

7.1 Personal Property: The Provider assumes no responsibility for personal property, exhibition materials, or merchandise left on the premises, including losses, theft, misplacement or damages, regardless of cause.

7.2 Abandoned Property: Items left in The Front Gallery after 6:00 PM will be considered abandoned and may be immediately discarded. The Provider is not obligated to store any items.

7.3 Connectivity: The Provider assumes no responsibility for internet blackouts, connectivity issues, or service interruptions from third-party providers.

7.4 Equipment Functionality: While the Provider will make reasonable efforts to ensure equipment is functional, no warranty is provided regarding the suitability or functionality of lighting or other equipment for the Member's specific needs.

7.5 No Warranty: The Provider makes no warranties, express or implied, regarding the suitability of the premises for the Member's particular event needs.

7.6 Event Liability: The Member assumes full responsibility for any accidents, injuries, or incidents occurring during their event. The Provider is not liable for any claims arising from Member's event activities.

ARTICLE 8 - EXPANDED LIMITATIONS AND DISCLAIMERS

8.1 Service Interruptions: The Provider shall not be liable for any interruptions in services including but not limited to internet connectivity, electricity, water, heating, cooling, or other utilities, regardless of cause.

8.2 Third Party Services: The Provider assumes no responsibility for services provided by third parties, including telecommunications providers, cleaning services, or security companies.

8.3 Force Majeure: The Provider shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, government regulations, public health crises, strikes, utility failures, or other major disruptive events.

8.4 No Refunds for Service Interruptions: The Member acknowledges and agrees that no refunds or credits will be provided for service interruptions of any kind, including those covered under Force Majeure.

8.5 Indemnification: The Member agrees to indemnify, defend and hold harmless the Provider from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising from or in connection with the Member's use of the premises, violation of this Agreement, violation of any law or regulation, or any damage to the premises or equipment caused by the Member or their guests.

ARTICLE 9 - TERMINATION AND CONTRACT CESSATION

9.1 Automatic Expiration: This Agreement automatically expires at 6:00 PM on the selected date. No notice of termination is required.

9.2 Termination by Provider for Cause: The Provider may terminate this Agreement immediately and without prior notice in case of:

- Inappropriate conduct or serious violation of internal rules

- Misuse of facilities or violation of any provision in Article 5

- Illegal activities on the premises

- Actions that endanger the safety or security of the facility or other users

- Excessive noise or disturbance affecting other users

- Exceeding the maximum capacity of 20 people

- Failure to comply with alcohol or food service regulations

- Damage to property or failure to maintain space conditions

- Unauthorized use outside of 8:00 AM to 6:00 PM hours

9.3 No Refunds upon Termination: In the event of termination for cause by the Provider, no refunds will be issued.

9.4 Post-Termination Obligations: Upon termination or expiration, the Member shall:

- Cease use of the facilities immediately (by 6:00 PM at the latest)

- Remove all personal property, exhibition materials, and decorations

- Leave the space in a clean and orderly condition, restored to original state

- Pay any outstanding charges for damages, extended hours, or restoration costs

ARTICLE 10 - RELOCATION CLAUSE

10.1 In the event that The Front Gallery is unavailable for the reserved date, the Provider reserves the right to relocate the event to another available space of similar size and amenities, with prior notice to the Member. If no suitable alternative space is available, the Provider may cancel the reservation with a full refund.

ARTICLE 11 - CONFIDENTIALITY

11.1 Confidentiality: Both parties agree to maintain confidentiality of all professional or personal information obtained under this Agreement.

11.2 Data Protection: Personal data processing shall comply with the General Data Protection Regulation (GDPR) and other applicable legislation.

ARTICLE 12 - GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Portugal.

12.2 Jurisdiction: Any disputes arising from this Agreement shall be submitted to the exclusive jurisdiction of the common courts of Porto, Portugal.

ARTICLE 13 - GENERAL PROVISIONS

13.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, negotiations and agreements.

13.2 Non-Transferability: This Agreement is strictly personal to the Member and may not be assigned, transferred, or sublet to any third party under any circumstances.

13.3 No Waiver: Failure by either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision.

ACKNOWLEDGMENT

The Member acknowledges that they have read this entire Agreement, understand its terms, and voluntarily agree to be bound by all its provisions without exception or reservation. The Member specifically acknowledges that this is a single-use, non-renewable agreement with no refund policy, access is limited to 8:00 AM to 6:00 PM without prior authorization, and that they are responsible for the conduct of all event participants, restoration of the space to original condition by 6:00 PM, and payment of any extended hours or damage charges.
